LilyFM helps you transform web articles into listenable audio experiences, enhanced with AI-powered insights. By accessing or using our Service (as defined below), you confirm that you have read, understood, and agreed to these Terms of Service (this "Agreement") and to the collection and use of your information as described in our Privacy Policy. These Terms apply to everyone who uses our Service, whether registered or not. We may update these Terms from time to time, and we'll let you know when significant changes are made.

Your agreement with us includes these Terms and our Privacy Policy ("Agreements"). The Terms outline the rules for using LilyFM, while the Privacy Policy explains how your information is collected, used, and protected. By agreeing, you confirm that you have read and understood these documents and agree to be bound by them.

1. Eligibility

To use LilyFM, you must be able to form a binding contract with us and comply with all applicable laws. Individuals under 13 years of age (or the relevant age of consent in your jurisdiction) are strictly prohibited from using the Service. If you are under 18 (or the age of majority in your jurisdiction), you may only use the Service with the involvement and consent of a parent or legal guardian, who agrees to be responsible for your activities and to be bound by this Agreement on your behalf. Our Service is unavailable to any Users we have previously removed.

2. Access and Use of the Service

  • Service Description: LilyFM allows users to submit links to web articles and other text content ("submitted content"). The service then processes these submitted contents to:
    • Convert text to audio format ("generated audio") using artificial intelligence (AI) technology.
    • Provide AI-based content analysis, including summaries, takeaways, action recommendations, divergent thinking prompts, and highlights ("AI Analysis").
  • Permitted Use: You may access and use our Service exclusively for personal, non-commercial purposes, provided you comply with this Agreement. LilyFM retains all rights not explicitly granted.
  • Account Registration: To access certain features, you may register for an account using "Sign in with Apple" or "Sign in with Google." You are responsible for all activities under your account and for keeping your account credentials secure.
  • Suspension or Termination: We reserve the right to suspend or terminate access to our Service at any time, for any reason, including violation of these Terms.
  • Commercial Use: If you wish to use the Services for business or commercial endeavors, please reach out to us at [email protected].

3. Third-Party Services and Content

  • Integrations: Our Service relies on and may integrate with third-party services, including AI service providers (e.g., Azure, OpenAI), hosting providers (e.g., Cloudflare, Neon), and authentication services (Apple Sign-In, Google Sign-In). Your use of these third-party services is subject to their respective terms and conditions and privacy policies.
  • Submitted Content (URLs): When you submit a URL, you are directing us to access content from a third-party website. LilyFM is not responsible for the availability, accuracy, legality, or content of these external websites or resources. You are solely responsible for ensuring you have the right to submit these URLs for processing.

4. License and Content Ownership

  • Your Submitted Content: You retain ownership of any intellectual property rights that you hold in the URLs you submit and the original content they point to.
  • License to Us: By submitting a URL to the Service, you grant LilyFM a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to access, use, process, reproduce, create derivative works of (such as Generated Audio and AI Analysis), distribute, and display the content from that URL solely for the purpose of providing the Service to you in accordance with these Terms and our Privacy Policy. This license ends when you delete the corresponding item from your LilyFM library or your account is terminated, except as necessary for our system to operate, for archival/backup purposes, or as required by law.
  • Generated Audio and AI Analysis: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Generated Audio and AI Analysis produced from your Submitted Content for your personal, non-commercial use through the App. You acknowledge that the underlying AI technologies and models used to create these outputs are our or our licensors' proprietary technology.
  • Feedback: If you provide us with any feedback, comments, or suggestions regarding our Services, you grant us the right to use such feedback for any purpose without obligation or compensation to you.

5. Restrictions on Use

To protect our Services, user data, and the integrity of our third-party service providers, you agree not to:

  • Unauthorized Data Extraction or Automated Operations: Use automated tools (e.g., bots, web crawlers, scrapers) to access or extract data from LilyFM's Services or its backend systems in a way that is not part of the intended Service functionality.
  • Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying AI models, algorithms, or technical secrets of the LilyFM App or Service.
  • Excessive or Abusive Use: Submit an excessive number of URLs or make API calls in a manner that imposes an unreasonable or disproportionately large load on our infrastructure or our third-party AI service providers, or otherwise attempt to disrupt the normal operation of the Service.
  • Unauthorized Access or Interference: Use any unauthorized third-party software, plugins, or systems to access or interact with LilyFM, or take any action that interferes with, disrupts, modifies, or otherwise negatively affects the Service's normal operations.
  • Compromise Security: Engage in any activity that compromises the security of LilyFM's network, platform, or user data, including unauthorized access, spreading malicious software, or supporting such activities.

We reserve the right to take technical or legal action against any unauthorized or abusive use of our Services.

6. Links to Other Web Sites (Submitted URLs)

Our Service processes URLs that link to third-party websites or services that are not owned or controlled by LilyFM. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services accessed through URLs you submit. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your submission or our processing of such third-party URLs or their content.

7. Intellectual Property Rights (Our IP)

Except for your Submitted Content, all materials within the Service, including but not limited to software, text (excluding AI-generated content derived from your submissions), graphics, logos, trademarks, service marks, and the overall "look and feel" of the App, are the exclusive property of LilyFM and its licensors, and are protected by copyright, trademark, and other intellectual property laws. Unauthorized use of this content is strictly prohibited.

9. Paid Service - LilyFM Pro

  • Premium Features: Certain features and functionalities within LilyFM are offered as part of a paid subscription service, "LilyFM Pro" ("Paid Services"). These may include unlimited article conversions, full access to AI Analysis features, an ad-free experience (if ads are present in the free version), and other benefits as described within the App.
  • Pricing: The details and prices of these Paid Services are shown within the App. Prices may vary depending on your region and other factors. We may add new features and offers regularly, and you'll always see the price before completing a purchase.
  • Billing and Payments: Paid Services are handled through Apple's In-App Purchase system. Subscriptions must be paid upfront. All billing and transaction processes are handled by Apple, and are subject to Apple's terms and conditions. We do not collect or store your payment card information.
  • Renewals and Cancellations: Subscriptions to LilyFM Pro will automatically renew for the same subscription period (e.g., monthly or annually) unless you cancel your subscription through your Apple App Store account settings at least 24 hours before the end of the current subscription period.
  • Refunds: Refunds for in-app purchases made through Apple are managed by Apple, not us. Please review the App Store's terms and conditions regarding refunds. For refunds or billing disputes, contact Apple directly.
  • Price Changes: We reserve the right to change our subscription fees. Any price changes will be communicated to you in advance and, if applicable, will take effect at the start of the next subscription period following the date of the price change.

10. Disclaimers and Limitations of Liability

LILYFM PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE STRIVE TO ENSURE A SECURE AND SEAMLESS EXPERIENCE BUT CANNOT GUARANTEE THAT THE SERVICE WILL ALWAYS FUNCTION WITHOUT INTERRUPTIONS, ERRORS, OR THAT THE GENERATED AUDIO AND AI ANALYSIS WILL BE COMPLETELY ACCURATE OR MEET ALL YOUR EXPECTATIONS.

LILYFM IS NOT RESPONSIBLE FOR THE CONTENT ACCESSED VIA URLS SUBMITTED BY USERS OR FOR THE OUTPUTS GENERATED BY THIRD-PARTY AI SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, LILYFM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless LilyFM, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of this Agreement; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right, related to your Submitted Content or your use of the Service.

12. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect (e.g., via an in-app notification or by posting on our website, if any). What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
